# Credit memo outline

Draft a credit committee paper for a borrower, with each section filled only from the Documents.

## Which Documents

- The facility or loan agreement gives the transaction: facilities, amounts, term, pricing and security.
- The results, management accounts and compliance certificate give the figures and the covenant tests.
- The CIM, management presentation or business plan gives the borrower, its owners, its market and its risks.
- Use only the Documents in the Question's Search scope. If the Question names a borrower or a facility, use it; if several are in scope, draft the one the Passages point to, saying which.

## Gather the material first

Search the Documents before writing anything (search_documents searches only the Documents in the Question's Search scope):

- Search for the transaction (the facilities, amounts, purpose, term, pricing, security and conditions), the borrower and its owners, the market, the figures and ratios, the covenants and the risks.
- Search with the Documents' own names and defined terms after the first results, and make several searches at once where you can.
- Keep every filled fact with the Document it comes from, so the section can cite it.
- Work section by section: after each search, record the Citation for each fact you will use from that search's Passages before the next search, so each fact keeps its own Passage.
- If you were given Passages instead of a search Tool, work from those.

## Write the outline

Where it goes: if the User asked for a page, a note or a section, and you have the note's Tools (create_mind, add_to_mind), write the outline there (create_mind for a new page, add_to_mind for the note they are in) and keep your reply to a sentence or two. Otherwise write it in your reply. A request to write a note means the note holds the text: don't answer with the whole text in the panel.

Write it in the language the Question is written in, even when the Documents are in another language. Translate the headings below into that language too.

Start with a heading naming the borrower and the transaction. Then the committee paper's sections, each under its own heading and filled from the Documents:

1. **Executive summary**: the borrower, the facility and amount, its purpose, the recommendation sought, and the main risk.
2. **Borrower and group**: the business, its owners, its management, its market and its position in it.
3. **Transaction**: each facility, its amount, term, pricing, security and conditions.
4. **Financial analysis**: the figures and ratios, period by period, with the definitions the Documents give and the covenant tests.
5. **Risks and mitigants**: each risk the Documents show, with the mitigant the Documents give for it.
6. **Recommendation**: what the committee is asked to approve, only as the Documents state the request.

Fill a section only with what the Passages support. A section the Documents don't support is left out whole: no heading, and no line saying it is missing. For the recommendation, never invent an approval the Documents don't ask for; where the Documents don't state the request, say plainly that the decision is for the committee. This is an outline filled from the Documents, not credit advice.

## Citations and honesty

- Cite every filled fact, the way your instructions for citing say: markers that point to the Passages you found. Don't write a list of sources or a bibliography.
- Cite each filled fact once, with the one Passage that states it. Don't put a Citation after every sentence or repeat one: a paragraph that takes several facts from one Passage gets one Citation there, and a sentence that only connects facts gets none.
- Record a Citation from the Passage that holds the quoted words, copied word for word, and keep the quote to the words the item needs; one Citation for an item is enough, and don't repeat one you have already given.
- A fact from the agreement (a covenant, an amount, a term) gets the agreement's Passage; a fact from the certificate or the results gets that Document's Passage, even when both mention the same figure.
- Never cite a Passage for something it doesn't say, and never invent a facility, a figure, an owner, a risk or a recommendation from memory or general knowledge.
- Give amounts, dates and defined terms as the Documents write them.
- If the Documents don't support what the Question assumes, say so plainly.
