# NDA triage ## Purpose Screen one incoming NDA against the organisation's written standard positions so that counsel opens the document already knowing where it departs from the norm, how far, and which prepared response fits each departure. The pack is a sorting aid: it labels distance from the standard positions, it does not rate legal risk, and it never decides whether to sign. Counsel decides. ## When to use - A counterparty NDA or confidentiality agreement has arrived and someone asks whether it is "standard", "fine to sign", "needs legal" or "has red flags". - A sales, procurement or partnership team wants a first pass before booking counsel time, or wants a revised NDA re-triaged. - Do not use for a full review of an MSA, SOW, licence or other whole contract, use contract-review-pack instead. Also not for: drafting an NDA; negotiating; a confidentiality clause inside a larger agreement (offer a clause-only triage with the limitation stated, or stop). ## Inputs 1.
