Anders als das Aktienrecht kennt das GmbHG kein eigenes Beschlussmängelrecht: Die Behandlung fehlerhafter Beschlüsse folgt der **analogen Anwendung** der aktienrechtlichen §§ 241, 243, 246 AktG (gefestigte Rechtsprechung/h.M.).
